Terms of Use
Version 1 · This version is in effect as of: 2026-10-20
These terms govern the license to use PLCWare for Siemens TIA Portal V21. You accept them expressly, together with the EULA, when requesting the trial or completing the purchase, and you receive by e-mail the address of the permanent copy of the version you accepted. The safety notice and the clauses that limit your rights are shown prominently.
Safety notice
The official tools (the MCP server and the harness) ask for human confirmation before downloading a program to the PLC, going online, or carrying out any equivalent action on the physical PLC. The app's API does not enforce that confirmation: it executes whatever any program able to call it requests. Who can call it: any program running on the same computer under any of its users, at http://localhost:5000 by default (or the configured port), without a password or token; if remote access is enabled, also any computer allowed through by the network and firewall. If you integrate the API into another system or agent, it is up to you to implement a confirmation before any action on the physical PLC and to protect access to the API.
Parties
The licensor is Nextech Digital Solutions LTDA, CNPJ 43.125.453/0001-57, headquartered at Rua Theofilo Ferreira da Rocha, 359, Caixa D'Água, Três Rios/RJ, CEP 25807-145, holder of the product's licensing rights. The merchant of record for the sale is Paddle: Paddle.com Inc. in the United States, Paddle.com (Canada) Ltd. in Canada and Paddle.com Market Limited in all other countries.
By completing your purchase through Paddle's checkout, you also accept its own buyer terms. Paddle's Buyer Terms
Paddle collects the payment, issues the invoice, collects the taxes and processes refunds; the license, the keys and technical support stay with us.
Per-seat license, tiers and scopes
The license is granted per seat. A seat corresponds to a named user: the person identified by the license e-mail, the only one authorized to use it, on any computer they operate. If a company contracts the license, the named user is the person it designates, and the license e-mail is that person's. Each purchase on the site includes 1 seat; more seats are contracted directly with us. The license runs for the contracted period, monthly or annual. To use the product, you need Siemens TIA Portal V21 and the STEP 7 Professional license that enables Openness, acquired separately from Siemens.
You may ask to change the named user through the support e-mail. From the change onwards, only the new user may use the license: whoever used it must stop using the key they hold, even if it stays technically active until it expires. The new user receives these terms and the EULA by e-mail, and they apply to that user from the moment they use the license.
Each tier unlocks a set of scopes in the app:
- Basic — read and author a project (no downloading a program to the PLC).
- Pro — everything in Basic, plus deploy (download, upload and go online on the PLC).
- 30-day trial — the same scopes as Pro, no credit card; it does not renew by itself.
- Enterprise — every scope, on quote.
Validity, billing and renewal
Your license is valid for the period you paid for; while the subscription is active, we e-mail the next cycle's key before the current one expires.
The subscription is charged on a recurring basis by Paddle for each period you contracted, until you cancel it in the Paddle portal (reachable from the customer panel).
You paste the new key into the app yourself — nothing inside the app swaps the key on your behalf.
If you cancel the subscription, we stop issuing new keys, and the key in use stays valid until its own expiry date, plus the grace period recorded in it. If a payment is refunded in full or reversed by chargeback, we also stop issuing new keys, and your right to use the period paid by it ends on the date of the refund or chargeback. The key may technically stay active until its expiry date, because it is checked on your computer, but from the refund or chargeback onwards you must stop using it. If the chargeback is reversed in our favor, the right to use that period applies again. A partial refund, such as a billing correction, does not change your right of use.
Prices and price changes
Current prices are shown on the pricing page and at checkout, with the taxes Paddle applies in your country. We may change the price of new purchases at any time; the new price applies from the moment it is published. For active subscriptions, the rules below apply.
For active subscriptions, we announce every increase by e-mail at least 30 days in advance, with the new amount and the date of the first charge at it. The new price is only charged at the first renewal after that period; until then, charges stay at the previous price. If you disagree, cancel before that renewal, with no penalty: the license keeps working until the end of the period already paid. Where the law of your country requires your express agreement to the increase, it is only charged after you agree; without your agreement, the subscription ends at the end of the period already paid.
A price decrease applies from the next renewal, without waiting for that period; the e-mail only informs you of the change.
Offline validation and EULA
The key is validated locally, on your own machine, with no dependency on a connection to our servers. Use of the app itself is governed by the EULA. If the EULA and these terms diverge, these terms prevail. Read the app's EULA
Cancellation, refunds and legal warranty
There are no refunds beyond what the law guarantees — before buying, you can try the product for 30 days, with no credit card. Refunds provided for by the law of your country are processed by Paddle, as the merchant of record for the sale, and local law always prevails. To request one, use the Paddle link in your purchase receipt or write to: support@plcware.io
Some examples, which do not limit other rights: in Brazil, the 7-day right of withdrawal counted from the purchase (CDC, art. 49). Under Paddle's refund policy, 7 days also apply in China, South Korea and Canada; 5 days in Singapore; and 14 days counted from the first payment in the European Union, the European Economic Area, the United Kingdom, Switzerland, Turkey and Israel — in the United Kingdom, also at each annual renewal. In the European Union, the European Economic Area, the United Kingdom and Switzerland, the 14-day period no longer applies once you ask for immediate delivery of the key, declare that you know you lose the right of withdrawal and the key is delivered.
Repair, replacement or a refund for a product defect also apply under the legal warranty, and Paddle may grant refunds at its own discretion, under its own policy.
You can cancel the subscription at any time in the Paddle portal, reachable from the customer panel. Cancellation applies to future charges: the license keeps working until the end of the period already paid, with no penalty.
Promotions, coupons and benefits
Promotions, coupons and personal benefits are granted at our discretion and follow the conditions stated in each offer — discount, duration, validity, countries and usage limit. Unless the offer says otherwise, they do not stack.
The discount applies to the price in force at each charge and follows price changes: a 50% discount forever is still 50% of the new price.
A one-time benefit applies once, to one purchase or one charge. A lifetime benefit applies to all later charges of the subscription it was applied to, for as long as that subscription is active; using it again on a future purchase depends on the promotion still being active. Personal benefits belong to the e-mail that received them and cannot be transferred. Courtesy licenses and vouchers follow the version of these terms accepted when receiving them, with the validity stated in the e-mail that grants them.
We may end a promotion at any time for new sign-ups; those who already joined keep the conditions stated in the offer. We only withdraw a benefit already granted, including a lifetime one, in case of fraud, use contrary to the offer's conditions or improper transfer. The withdrawal is announced by e-mail, with the reason, and applies only to later charges; what has already been charged at a discount does not change.
We may limit the number of sales or close them for a while. Joining the waitlist is free and does not guarantee a purchase: when sales reopen, we let the people on it know by e-mail, sometimes with a few days of early access or a one-time coupon, as stated in that e-mail. Personal purchase links are valid for the period stated in the e-mail and only for the e-mail they were sent to.
Intellectual property and trademarks
PLCWare is an independent product, with no affiliation to Siemens and with no sponsorship or endorsement by it. TIA Portal, SIMATIC and STEP 7 are trademarks of Siemens AG, mentioned here only to describe the product's compatibility.
Limitation of liability
PLCWare is not designed to create, modify or transfer safety logic (F-logic); that use falls outside the scope of the license, and safety logic is always the customer's sole responsibility.
Commissioning, validating safety logic, and the safe operation of the installation remain your responsibility, or your engineering team's.
Except for the warranties required by law, including the legal warranty against defects, which cannot be waived, the product is provided as is: we do not guarantee that it will run without interruptions or errors, nor that it fits a particular purpose beyond the one described in the documentation. The technical validity period of the version sold is the current subscription period, for the latest version of the application used with Siemens TIA Portal V21 (for a trial, its 30-day period); during that period, we provide technical support for the product's operation.
If you contract the product for your business activity, and to the fullest extent permitted by law, we are not liable for lost profits, lost production, line stoppage, damage to equipment or loss of data, nor for indirect damages, arising from the use of the product — including actions carried out on the PLC at your request or at the request of an agent you authorized —, and our total liability is limited to the greater of the amount you paid for the license in the 12 months before the event that gave rise to the claim and R$ 3,350 for purchases in reais or US$ 1,238 for purchases in dollars. These limitations do not apply to a consumer who is an individual.
Nothing in these terms excludes liability for willful misconduct or gross negligence, nor the rights the law grants consumers that cannot be waived by contract.
Changes to these terms
We may update these terms and the EULA, which are versioned together. The effective date of the current version is shown at the top of the page, and each published version remains available, unchanged, at a permanent address:
- Version 1 — Terms of Use · EULA
A change that reduces your rights or increases your obligations on an active subscription is announced by e-mail at least 30 days in advance and only applies to your subscription from the first renewal after the date stated in that e-mail. Without that e-mail, the previous version still applies to you. If you disagree, cancel before that renewal, with no penalty, keeping the license until the end of the period already paid; if you keep the subscription, you follow the new version. Where the law of your country requires your express agreement, the new version only applies after you agree; without your agreement, the subscription ends at the end of the period already paid. Wording corrections that do not change rights or obligations and adjustments required by law may apply from publication. Price changes follow the Prices and price changes section.
Governing law and venue
These terms are governed by Brazilian law. The courts of the Comarca de Três Rios/RJ, Brazil are chosen to settle disputes about the license, without prejudice to the consumer's right to bring the action in the courts of their own domicile. If you are a consumer and live outside Brazil, this choice does not displace the consumer-protection rules of your country of residence or your right to go to the courts there. A purchase made through Paddle follows Paddle's buyer terms.
